Jasper Foust – Terms of Service

Effective Date: May 1, 2025

These Terms of Service ("Agreement") govern the use of services provided by Jasper Foust LLC ("Jasper Foust," "we," "our," or "us") to our clients ("Client," "you," or "your"). By engaging our services, you agree to the following terms:

1. Scope of Services

All services will be outlined in a separate written proposal or contract. Jasper Foust agrees to provide the services specified, which may include strategic consulting, branding, content creation, web development, AI integration, and other marketing solutions.

2. Client Responsibilities

You agree to provide timely access to personnel, information, and resources required for Jasper Foust to complete the work as agreed. Delays in receiving necessary materials or feedback may result in adjusted timelines or additional fees.

3. Payment Terms

Unless otherwise specified:

  • A 50% deposit is due upon acceptance of the proposal (for any contracts over $1,000).

  • The remaining 50% is due upon project completion or delivery of final assets.

  • Invoices are due Net 15 from the issue date.

  • Late payments may be subject to a 2% monthly late fee.

Jasper Foust accepts payment via ACH, credit card, check, Venmo, or Zelle.

4. Revisions & Approvals

Unless stated otherwise, services include up to two (2) rounds of revisions. Additional revisions or scope changes may incur added costs and timeline adjustments.

5. Ownership & Rights

Upon full payment, final deliverables become the property of the client. Jasper Foust retains the right to showcase completed work for portfolio and promotional purposes unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the project.

7. Termination

Either party may terminate the agreement with written notice. The client will be invoiced for all completed work and any non-recoverable expenses incurred before termination.

8. Limitation of Liability

Jasper Foust shall not be liable for indirect, incidental, or consequential damages arising out of or in connection with our services. Our total liability under this agreement is limited to the fees paid by the client.

9. Force Majeure

We are not liable for delays or failure to perform due to circumstances beyond our control, including but not limited to natural disasters, internet outages, or acts of government.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of TN and FL, without regard to its conflict of law provisions.
